RussianLegal managed to change CEO amid a corporate conflict

This week the tax authorities made the state registration for the change in the general director at one of the largest enterprises in St. Petersburg. The corporate conflict there has been ongoing for the past two years.

The company's CEO, although holding only a minority stake, took a number of actions to divest joint assets and enter into contracts on non-market terms.

When this came to light, the first step was to conduct the necessary corporate procedures to change the director. However, the corporation's articles of association were drafted in such a way that general meetings were largely the responsibility of a minority shareholder.
